Terms and conditions

The following are the Terms and Conditions for Trados LSP Partner Program between you ("you" or "your") and SDL Limited, part of RWS Holdings Plc group of companies, and its subsidiaries and affiliated group companies ("we," “us,” “our” or "RWS"). By joining the LSP Partner Program, you agree to follow and be bound by the following terms and conditions concerning your access to and use of the benefits of the Program ("Trados LSP Partner Program Terms and Conditions"). RWS may revise, but not make material changes, to the Trados LSP Partner Program Terms and Conditions at any time without prior notice to you. The revised Trados LSP Partner Program Terms and Conditions will be effective when posted at trados.com website.

1. Qualify as a Trados LSP Partner

To qualify as a Trados LSP Partner, your organization is required to be a Language Service Provider and own the latest version of at least one of the following products:

  • Trados Studio Professional
  • Trados Team
  • Trados Accelerate
  • Trados GroupShare
  • WorldServer

You acknowledge and represent that you qualify as a Trados LSP Partner.

2. Trados LSP Partner Program Rights and Benefits

As a Trados LSP Partner, your organization will receive access to the following program benefits:

  • Special offers on Trados purchases
  • Access to unique educational content
  • Promotion on our website (trados.com)

3. Trados LSP Partner Program Commitments

Your organization will continue to meet all qualification requirements described in section 1 to be a Trados LSP Partner.

4. Trademarks

During the Trados LSP Partner Program, RWS grants you a nonexclusive, nontransferable limited license (without the right to sublicense) to use and display the trademarks owned by RWS (“Trados Trademarks”) for the sole and exclusive purpose of marketing Trados to potential End Users (meaning potential customers of RWS services or licenses) in accordance with the Trados LSP Partner Program Terms and Conditions. You have no rights to modify the Trados Trademarks in any way without obtaining the prior written consent of RWS. You shall not represent to any third party that it has any right to bind RWS in any manner and You agree not to make any representations or warranties on behalf of RWS. Your use of the Trados Trademarks shall be in compliance with RWS’s guidelines.

You acknowledge that RWS is the sole and exclusive owner of the Trados Trademarks and all goodwill associated with the Trados Trademarks and that Your use of the Trados Trademarks will not create any right, title or interest in such Trados Trademarks for you.  

During the Trados LSP Partner Program, you grant RWS a nonexclusive, nontransferable limited license (without the right to sublicense) to use and display the trademarks owned by you (“Your Trademarks”) for the sole and exclusive purpose of marketing you to potential End Users (meaning potential customers of RWS services or licenses). RWS has no rights to modify Your Trademarks in any way without obtaining the prior written consent of you. For the avoidance of doubt the resizing of a logo is not deemed to be a modification of a logo, and is hereby authorized by you. RWS agrees not to make any representations or warranties on behalf of you.  RWS’s use of Your Trademarks shall be in compliance with your guidelines.

RWS acknowledges that you are the sole and exclusive owner of Your Trademarks and that RWS’s use of Your Trademarks will not create any right, title or interest Your Trademarks.  

5. Non-Disclosure

All documentation and information which is designated in writing by the disclosing party as proprietary or confidential, including without limitation drawings, computer program listings, techniques, algorithms and processes and technical and marketing information (“Confidential Information”) which is supplied by the disclosing party to the receiving party (i) shall be treated confidentially by the receiving party and its employees; (ii) shall not be disclosed by the receiving party to any third party without the disclosing party's prior written consent; and (iii) shall not be used by the receiving party except as necessary to perform its obligations under the Trados LSP Partner Program Terms and Conditions.  Information shall not be considered to be Confidential Information if it (1) is already or otherwise becomes publicly known through no act of the receiving party; (2) is lawfully received from third parties subject to no restriction of confidentiality; or (3) can be shown by the receiving party to have been independently developed by it prior to such disclosure and without the benefit or use of the Confidential Information.  The receiving party agrees to protect Confidential Information with at least the same standard of care and procedures that it uses to protect its own trade secrets and proprietary information but in any event not less than reasonable care.

6. Termination of Use

RWS may, in its sole discretion, at any time discontinue providing the Trados LSP Partner Program by communicating this to you via direct email and/or relevant pages on our website (trados.com). You agree that RWS may, in its sole discretion, at any time, terminate the Trados LSP Partner Program without liability. Parties agree that no additional notifications will be required to terminate the Trados LSP Partner Program.

You may, at your own discretion, at any time, discontinue being a Trados LSP Partner by notifying us by email at lsppartners@rws.com.

7. Disclaimer

Except where expressly provided otherwise, the Trados LSP Partner Program and any content provided in relation to it is provided by RWS on an "as is" basis. RWS expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. RWS makes no warranty that: (a) the Trados LSP Partner Program will meet your requirements; (b) the Trados LSP Partner Program will be available on an uninterrupted, timely, secure, or error-free basis; (c) or the quality of any content obtained by you through the Trados LSP Partner Program will meet your expectations.

8. Limitation of Liability

In no event shall RWS be liable for any direct, indirect, incidental, special or consequential damages, or damages for loss of profits, revenue, data or data use, incurred by you or any third party, whether in an action in contract or tort, arising from your access to, or use of, the Trados LSP Partner Program benefits.

9. Miscellaneous:   

Assignment. Trados LSP Partner Program Terms and Conditions are specific to the parties, and cannot be assigned.  

Relationship of the Parties. The relationship between you and us under this Trados LSP Partner Program Terms and Conditions is that of independent contractors and no agency, partnership, joint venture or other joint relationship is created hereby and neither you or us shall have any authority of any kind to bind the other party in any respect whatsoever.  

Force Majeure. Neither party is responsible for failure to fulfill its obligations under this Trados LSP Partner Program Terms and Conditions due to causes beyond its control.

Trados LSP Partner Program Communications. By joining the Trados LSP Partner Program you agree to participate in the Trados LSP Partner Program; an element of which is for RWS to provide communications to you including, but not limited to, advertisements, press releases or other marketing materials. 

Entire Agreement. This Trados LSP Partner Program Terms and Conditions constitutes the entire understanding between the parties regarding its subject matter and supersedes all proposals, oral or written, and all communications between the parties relating to the subject matter thereof. 

Governing Law. This Trados LSP Partner Program Terms and Conditions is governed by the laws of England and the parties hereby to submit to the exclusive jurisdiction of the English courts to resolve any dispute between them. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded.
